Item 7.01 Regulation FD Disclosure.

 

Intuitive Machines, Inc. (“Intuitive Machines” or the “Company”), a leading space exploration, infrastructure, and services company, has entered into a definitive securities purchase agreement for the sale of approximately 4.7 million shares of the Company’s Class A Common Stock at a purchase price of $4.25 per share (the “Shares”) and approximately 9.4 million warrants to purchase shares of Class A Common Stock at an exercise price of $4.75 (the “Warrants” and, together with the Shares, the “Securities”), in a private placement with a certain institutional investor (the “Private Placement”). The Private Placement is expected to close on or about September 5, 2023, subject to the satisfaction of customary closing conditions.

 

Intuitive Machines intends to use the net proceeds from the Private Placement for general corporate purposes and working capital needs as the Company ramps activity across key growth programs.

 

The Securities being sold in the Private Placement have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or state securities laws and may not be offered or sold in the United States absent registration with the Securities and Exchange Commission (“SEC”) or an applicable exemption from such registration requirements. The Company has agreed to file a registration statement with the SEC covering the resale of the Securities issuable in connection with the Private Placement.
